無論EOS的支持者或反對(duì)者，對(duì)于這種是否因?yàn)?ldquo;法律合規(guī)”，就要把所有法律責(zé)任一律撇清，以及協(xié)議約定中，把所有募資收入都劃歸公司收益（區(qū)塊鏈通行做法是，募資所得進(jìn)入基金會(huì)），是否違背區(qū)塊鏈社區(qū)精神，以及是否為“法律合規(guī)”的十分必要之舉，至今依然存在爭議，外部輿論戰(zhàn)和社區(qū)內(nèi)部分叉大戰(zhàn)都已在所難免。
美國投資人，芝加哥大學(xué)經(jīng)濟(jì)學(xué)博士Jeffrey Wernick在鏈得得“不得了”對(duì)話交流群里表示，他做了很多年投資，也是很多區(qū)塊鏈項(xiàng)目的顧問和投資人，看了很多的法律免責(zé)聲明和協(xié)議，但像EOS這樣“完全撇清”，并且將募資所得完全作為公司可任意支配收益的“協(xié)議”非常罕見，“我覺得是對(duì)投資人的極大不尊重”。
作為全球目前最大的公鏈，也同樣是海外項(xiàng)目的以太坊，同樣也有一份針對(duì)買賣的公開購買協(xié)議文件。6月8日晚，陳偉星再次發(fā)布朋友圈稱，“EOS與ETH的募資使用差別在于，EOS募集了40億美元錢歸他們自由支配，不承擔(dān)任何對(duì)項(xiàng)目的責(zé)任；ETH募集了1840萬美元明確用途，用于項(xiàng)目的開發(fā)。希望這個(gè)行業(yè)的人多學(xué)學(xué)Vitalik的理想主義改變世界，而不是學(xué)習(xí)某些貪婪的虛假“首富”，一波一波的欺詐性的割新進(jìn)行業(yè)的韭菜，把募集的資金放進(jìn)自己的口袋！希望block.one未來能把募集的錢用不完的部分捐贈(zèng)出來給所有“相信”過的人。”
在爭議不下中，我們不妨將兩者對(duì)比，EOS和ETH在購買協(xié)議中針對(duì)出售Token收入的運(yùn)用、性質(zhì)差異、社區(qū)未來運(yùn)營、協(xié)議條款修改、仲裁方式、募資情況，看看二者究竟有哪些不同？以下雙方資料由泛城數(shù)字經(jīng)濟(jì)研究院提供，略經(jīng)鏈得得App編輯和補(bǔ)充，由讀者自行獨(dú)立判斷：
在過去一年EOS的公開募資的過程當(dāng)中，EOS不但沒有用戶，就連產(chǎn)品都沒有真正上線，目前市場上流通的EOS其實(shí)是一款ERC20體系代幣。在這種情況下，募集的資金在哪里？都用來干什么了？官方既沒有說明過，亦無獨(dú)立的三方機(jī)構(gòu)進(jìn)行審計(jì)。市場的疑慮日漸加深。從銷售代幣收入方面看，EOS和ETH有哪些區(qū)別？EOS通過ICO募集的40億美金究竟何去何從？
a) EOS原文：Company’s Use of Proceeds. Buyer acknowledges and understands that the proceeds from the sale of the EOS Tokens will be utilized by Company in its sole discretion.
出售EOS token的所有收入都由Block.one團(tuán)隊(duì)自行安排使用。
b) ETH原文 ：intended use of revenue：
In addition to the Genesis Sale Quantity of ETH, the pre-mining process will create and place a second pool of ETH in the Genesis Block. This second pool of ETH will be directly allocated to early contributors who have worked to develop the ideas, implementations, and supporting structures of the Ethereum project up to the time of the Genesis Sale. The size of this pool will be 9.9% of Genesis Sale Quantity of ETH.
In addition to the Genesis Sale Quantity of ETH and the second pool of ETH, the pre-mining process will create and place a third pool of ETH in the Genesis Block. This third pool of ETH will be directly allocated to the Ethereum Stiftung (Foundation) for payment of future expenses to be determined in its sole discretion. The size of this pool will be 9.9% of Genesis Sale Quantity of ETH.

a) ETH原文：The Ethereum Platform requires, for proper operation, and comprehensive utilization, a cryptographic fuel called Ether (“ETH”).
This document describes the Genesis Sale in which the fuel token (Ether or ETH) is sold, as well as the perpetual coordinated spontaneous creation of the “cryptofuel.” Parties may be interested in purchasing ETH (the cryptofuel) in the Genesis Sale to build and power business applications, to pay for coming distributed application services on the Ethereum Platform, to pay for other tokens that may be created on the Ethereum Platform for various applications, or to support the development of the Ethereum Platform.
b) EOS原文：NOT A PURCHASE OF EOS PLATFORM TOKENS. EOS Tokens purchased under this Agreement are not tokens on the EOS Platform. Buyer acknowledges, understands and agrees that Buyer should not expect and there is no guarantee or representation made by Company that Buyer will receive any other product, service, rights, attributes, functionalities, features or assets of any kind whatsoever, including, without limitation, any cryptographic tokens or digital assets now or in the future whether through receipt, exchange, conversion, redemption or otherwise.

前述區(qū)塊鏈和比特幣項(xiàng)目的早期參與者Jeffrey Wernick表示：EOS的營銷做的非常漂亮，但大多數(shù)的持有者更多的是關(guān)注資產(chǎn)如何增值，將手中的資產(chǎn)變現(xiàn)。對(duì)于EOS的人來說，他們更多的關(guān)注是資產(chǎn)如何增值，然后把自己的手里的資產(chǎn)能夠變現(xiàn)。在運(yùn)營層面上，EOS和ETH有哪些區(qū)別：
a) EOS原文：Ability to Transact or Resell. Buyer may be unable to sell or otherwise transact in EOS Tokens at any time, or for the price Buyer paid. By using the EOS Distribution Contract or the EOS Token Contract or by purchasing EOS Tokens, Buyer acknowledges, understands and agrees that: (a) EOS Tokens may have no value; (b) there is no guarantee or representation of liquidity for the EOS Tokens; and (c) the block.one Parties are not and shall not be responsible for or liable for the market value of EOS Tokens, the transferability and/or liquidity of EOS Tokens and/or the availability of any market for EOS Tokens through third parties or otherwise.
Reliance on Third-Parties. Even if completed, the EOS.IO Software will rely, in whole or partly, on third parties to adopt and implement it and to continue to develop, supply, and otherwise support it. There is no assurance or guarantee that those third parties will complete their work, properly carry out their obligations, or otherwise meet anyone’s needs, all of might have a material adverse effect on the EOS.IO Software and EOS Platform.
EOS.IO未來的應(yīng)用、維護(hù)和開發(fā)主要依靠第三方的參與，不能保證第三方可以完成他們的工作和業(yè)務(wù)。而Block.one聲明對(duì)此不負(fù)有任何責(zé)任，包括未來EOS的市場價(jià)值、流動(dòng)性和可用性等。
b) ETH原文：EthSuisse will be liquidated shortly after creation of genesis block, and EthSuisse anticipates (but does not guarantee) that after it is dissolved the Ethereum Platform will continue to be developed by persons and entities who support Ethereum, including both volunteers and developers who are paid by nonprofit entities interested in supporting the Ethereum Platform.

a) ETH 原文：EthSuisse reserves the right, at its sole discretion, to change, modify, add, or remove portions of the Terms and Ether Product Purchase Agreement, at any time during the sale by posting the amended Terms on the Ethereum website (https://www.ethereum.org). Any Purchaser will be deemed to have accepted such changes by purchasing ETH.
The Terms may not be otherwise amended except in a signed writing executed by both the Purchaser and EthSuisse. For purposes of this agreement, "writing" does not include an e-mail message and a signature does not include an electronic signature.
b) EOS原文：Modification of Agreement. Company may modify this Agreement at any time by posting a revised version on the Website, available at https://eos.io/purchase_agreement. The modified terms will become effective upon posting. It is Buyer’s responsibility to check the Website regularly for modifications to this Agreement. This Agreement was last modified on the date listed at the beginning of this Agreement.
關(guān)于協(xié)議修訂的問題，ETH和EOS團(tuán)隊(duì)都有權(quán)利對(duì)協(xié)議條款進(jìn)行修改。但是ETH對(duì)條款進(jìn)行修改后需要ETH團(tuán)隊(duì)和買方共同簽字執(zhí)行（電子郵件和電子簽名都不被接受）。
但是EOS協(xié)議僅表述為修改后的協(xié)議一經(jīng)上傳，立刻生效，不需要買方認(rèn)可。
ETH原文：The arbitration panel shall consist of one arbitrator only, unless the ICC Court of Arbitration determines that the dispute is such as to warrant three arbitrators. If the Court determines that one arbitrator is sufficient, then such arbitrator shall be selected from Switzerland. If the Court determines that three arbitrators are necessary, then each party shall have 30 days to nominate an arbitrator of its choice -- in the case of the Claimant, measured from receipt of notification of the ICC Court’s decision to have three arbitrators; in the case of Respondent, measured from receipt of notification of Claimant’s nomination. All nominations must be from Switzerland. If a party fails to nominate an arbitrator, the Court will do so. The Court shall also appoint the chairman.
b) EOS原文：Binding Arbitration. Any Dispute not resolved within 90 days as set forth in Section 9.1 shall be referred to and finally resolved by arbitration under the London Court of International Arbitration (LCIA) rules in effect at the time of the arbitration, except as they may be modified herein or by mutual agreement of the Parties. The number of arbitrators shall be one who shall be selected by Company.
關(guān)于爭議解決的問題，ETH約定提交國際商會(huì)組織（ICC）后，由ICC決定是以一位仲裁員還是三位仲裁員決定。若三位，則雙方各有30天來決定一位人選。人選條件主要按照ICC規(guī)定選拔。
而EOS直接約定仲裁員只有一位，且由Block.one決定人選。
注解：相比較于ETH的仲裁，EOS確定的仲裁方式完全保障EOS方的利益，并不公平。
盡管有以上極大不同，根據(jù)ETH和EOS購買協(xié)議內(nèi)容，二者在項(xiàng)目開發(fā)的保證、token的權(quán)利、免責(zé)行為、分發(fā)風(fēng)險(xiǎn)、退款、未來價(jià)格、責(zé)任限制、第三方相關(guān)損失、最大責(zé)任金額方面卻有相似之處，但有細(xì)微差別：
ETH和EOS都不保證各自項(xiàng)目未來一定能開發(fā)成功并上線運(yùn)營。即使能上線運(yùn)營，也不對(duì)項(xiàng)目未來成功與否給出承諾。項(xiàng)目有可能因?yàn)楦鞣N原因失敗。
注解：雖然ETH和EOS團(tuán)隊(duì)在項(xiàng)目開發(fā)的保證上相似，但是結(jié)合前述關(guān)于募集資金的運(yùn)用的不同，可以理解為仍存在以下細(xì)微差異：即當(dāng)ETH項(xiàng)目失敗時(shí)，募集到的資金理論上應(yīng)該是已經(jīng)全部花完。而EOS不能確定其項(xiàng)目失敗時(shí)，募集資金是否已經(jīng)被充分利用。
ETH coin和EOS token都表示其不代表任何價(jià)值。但是EOS具體說明即使未來EOS平臺(tái)上線，EOS.IO開發(fā)完成并落地應(yīng)用，公司也不承諾、不保證EOS代幣未來有任何權(quán)利、用途或者價(jià)值等。
此外，EOS更進(jìn)一步聲明EOS不能作為任何的金融產(chǎn)品或衍生產(chǎn)品。以規(guī)避被認(rèn)定為證券的風(fēng)險(xiǎn)。
最后，EOS還重申了EOS TOKEN不代表對(duì)公司收入、資產(chǎn)、分配、投票等有任何法律權(quán)力。也不代表對(duì)公司的貸款或者任何所有權(quán)。
ETH和EOS協(xié)議中都要求買方聲明承諾購買行為時(shí)基于其自身的風(fēng)險(xiǎn)判斷和現(xiàn)有技術(shù)情況的判斷。團(tuán)隊(duì)都沒有對(duì)未來幣的任何屬性和功能進(jìn)行承諾。
ETH和EOS發(fā)放的過程中都不是完全不會(huì)出錯(cuò)的，ETH和EOS團(tuán)隊(duì)都不對(duì)幣發(fā)放過程中發(fā)生系統(tǒng)錯(cuò)誤引發(fā)的損失承擔(dān)責(zé)任。
ETH 原文：ALL PURCHASES OF ETH ARE FINAL. PURCHASES OF ETH ARE NON-REFUNDABLE.
EOS原文：PURCHASE OF EOS TOKENS ARE NON-REFUNDABLE AND PURCHASES CANNOT BE CANCELLED. BUYER MAY LOSE ALL AMOUNTS PAID.
任何情況下，ETH和EOS都不會(huì)接受退款。
a) ETH原文：By purchasing ETH, you expressly acknowledge and represent that you fully understand that ETH may experience volatility in pricing and will not seek to hold any of the EthSuisse Parties liable for any losses or any special, incidental, or consequential damages arising from, or in any way connected to the sale of ETH.
b) EOS原文：By using the EOS Distribution Contract or the EOS Token Contract or by purchasing EOS Tokens, Buyer acknowledges, understands and agrees that: (a) EOS Tokens may have no value; (b) there is no guarantee or representation of liquidity for the EOS Tokens; and (c) the block.one Parties are not and shall not be responsible for or liable for the market value of EOS Tokens, the transferability and/or liquidity of EOS Tokens and/or the availability of any market for EOS Tokens through third parties or otherwise.
ETH和EOS都不對(duì)其未來價(jià)格的巨大波動(dòng)承擔(dān)責(zé)任。

a) ETH原文：THE PURCHASER ACKNOWLEDGES AND AGREES THAT, TO THE FULLEST EXTENT PERMITTED BY ANY APPLICABLE LAW, THE DISCLAIMERS OF LIABILITY CONTAINED HEREIN APPLY TO ANY AND ALL DAMAGES OR INJURY WHATSOEVER CAUSED BY OR RELATED TO USE OF, OR INABILITY TO USE, ETH OR THE ETHEREUM PLATFORM UNDER ANY CAUSE OR ACTION WHATSOEVER OF ANY KIND IN ANY JURISDICTION, INCLUDING, WITHOUT LIMITATION, ACTIONS FOR BREACH OF WARRANTY, BREACH OF CONTRACT OR TORT (INCLUDING NEGLIGENCE) AND THAT NONE OF THE ETHSUISSE PARTIES SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING FOR LOSS OF PROFITS, GOODWILL OR DATA, IN ANY WAY WHATSOEVER ARISING OUT OF THE USE OF, OR INABILITY TO USE, OR PURCHASE OF, OR INABILITY TO PURCHASE, ETH.
b) EOS原文：To the fullest extent permitted by applicable law, Buyer disclaims any right or cause of action against the block.one Parties of any kind in any jurisdiction that would give rise to any Damages whatsoever, on the part of any block.one Party. Each of the block.one Parties shall not be liable to Buyer for any type of Damages, even if and notwithstanding the extent a block.one Party has been advised of the possibility of such Damages. Buyer agrees not to seek any refund, compensation or reimbursement from a block.one Party, regardless of the reason, and regardless of whether the reason is identified in this Agreement.
ETH和EOS都會(huì)起承擔(dān)的責(zé)任進(jìn)行了限制。ETH的免責(zé)聲明適用于因使用或無法使用ETH或ETH平臺(tái)而造成的各種損失。ETH團(tuán)隊(duì)不對(duì)這些損失承擔(dān)任何責(zé)任。
EOS團(tuán)隊(duì)則要買方承諾放棄對(duì)Block.one方的訴訟權(quán)。并且Block.one不對(duì)造成的任何損失負(fù)責(zé)。不管什么原因，買方都同意不向Block.one相關(guān)方索取任何退款、賠償。
ETH和EOS都聲明對(duì)于買方和其他第三方之間的行為和爭議不承擔(dān)責(zé)任。
雖然ETH和EOS對(duì)自身責(zé)任進(jìn)行了限制，甚至豁免。但是還是兜底約定，其各自能承擔(dān)的最大責(zé)任金額不超過買方支付的購買價(jià)款。
